These Terms of Use (hereinafter, the "Terms") describe the terms applicable to the functionalities, services and content offered through the COMMITMENT AND COMMUNITY website, as well as all content therein (hereinafter, the "Platform"), owned by INGKA CENTRES ESPAÑA, S.L., with Tax ID B84603240, a company domiciled at Avda. Matapiñonera, nº 9, 28703 San Sebastián de los Reyes (Madrid), Spain, registered in the Commercial Registry of Madrid in volume 22,320, folio 151, section 8, page 398,052 (hereinafter, "INGKA" or "INGKA CENTRES").

INGKA CENTRES offers this Platform exclusively within peninsular national territory, with the exception of the territories of the autonomous communities of the Canary Islands, Balearic Islands, and the autonomous cities of Ceuta and Melilla. Due to the foregoing, INGKA CENTRES does not guarantee satisfactory use of the Platform for Users outside the territorial scope mentioned in this paragraph, and expressly disclaims any liability arising therefrom.

Access to the Platform is free and does not require prior subscription. The use of this Platform is subject to the Privacy Policy, the Cookie Policy, the Terms and Conditions for INGKA CENTRES accounts and this Legal Notice, which the User acknowledges and accepts in full and without any reservation by browsing the Platform, using its functionalities, and/or acquiring the products offered through it. If you do not agree with these Terms, you must refrain from using this page. The use of the Platform also requires that you are of legal age and have sufficient legal capacity under applicable legislation to be bound by these Terms.

Your visit to or use of the Platform must at all times be carried out in a responsible manner and in accordance with applicable law, the rules of good faith, and respecting at all times the intellectual and industrial property rights of INGKA CENTRES, any other company in the INGKA group, or any other third parties, whether natural or legal persons.

Without prejudice to the generally binding nature of these Terms, certain services or utilities offered on the Platform may i) require registration and corresponding creation of an account or login, if you already have one, and/or ii) have special conditions that complement, replace, or render some or all of these Terms without effect, which will require your express consent and which in any case may be consulted before giving such consent.

2. NATURE OF THE SERVICES

Access to and/or use of the Platform grants the status of visitor and/or user (hereinafter, collectively, the "User"), who accepts from the moment of such access and/or use, the terms and conditions reflected in this document. These terms and conditions shall apply regardless of the conditions of the services and functionalities provided on this Platform, which may be consulted at any time and shall be governed by their own terms and conditions.

On this Platform, Users can view content and access two main functionalities. One is the ability to access information and participate in various projects of different NGOs; and the other is the ability to acquire "Solidarity Points". The terms and conditions of both functionalities can be consulted in the specific section for each of them.

3. USE OF THE PLATFORM AND USER RESPONSIBILITY

Through the Platform, a multitude of information and services or data owned by INGKA CENTRES and/or third parties are provided, to which the User may have access. The user assumes responsibility for the correct use of the Platform. This responsibility extends to registration when it is necessary to access certain Platform services.

The user undertakes not to use the Platform, nor the information, content, data, or derivatives, for activities contrary to the law, morality or public order and, in general, to use it in accordance with the conditions established by INGKA CENTRES and applicable legislation. The use, by any direct or indirect means, of any of the content of the Platform for purposes that are or could be unlawful is expressly prohibited, as is the performance of any action that causes or could cause damage of any kind, or alterations not consented to by INGKA CENTRES, to the Platform or any of its content.

The services provided through the Platform and the uses made by Users may be subject to moderation systems by INGKA CENTRES.

The opinions, content and, in general, all activities carried out by the User are their exclusive responsibility, and INGKA CENTRES cannot be held responsible for any damages that may arise from such activities outside its control and without effective knowledge thereof.

In the event that INGKA CENTRES detects any inappropriate use by Users on the Platform, it will proceed to block the registered account. Additionally, if such inappropriate use could involve any offence of any nature, INGKA CENTRES will proceed to bring the facts to the attention of the competent authorities or bodies.

4. LIABILITY OF INGKA CENTRES

INGKA CENTRES shall not be liable for errors in access to the Platform or its content, although it will exercise the greatest diligence to prevent them from occurring.

INGKA CENTRES does not guarantee the correct and lawful use of the Platform by its Users and, consequently, disclaims any liability arising from any actions contrary to applicable legislation, including, expressly, statements of any kind made through applications or tools available at any time on the Platform, that are inappropriate, defamatory, injurious, offensive, racist, obscene, or discriminatory, among others. Likewise, INGKA CENTRES reserves the right to exercise the appropriate judicial and extrajudicial actions arising from any conduct contrary to the provisions of this paragraph.

Except for the limits established by law, INGKA CENTRES assumes no liability arising from the following situations, listed by way of example and not limitation:

• Errors that may occur as a result of incidents due to problems in the Internet network, including the inability to use the Platform, both as a result of routine system maintenance operations and essential updates for the proper functioning thereof.
• The use of the Platform by minors or the sending of their personal data without the permission of their parents or guardians, the parents or guardians being responsible for the responsible use of the Internet by minors. INGKA CENTRES recommends the installation of Internet usage control tools to prevent access to pages or content unsuitable for minors.
• Content that the User may access through links not authorised by INGKA CENTRES or introduced by Users as comments or using similar tools, when these are made available to them on the Platform.
• The introduction of erroneous data by you or an unauthorised third party, as well as problems with the email address you provide if it is incorrect or has operational problems beyond the control of INGKA CENTRES.
• The unlawful use that Users may make of the materials and content of the Platform in infringement of intellectual and/or industrial property rights of web content.

INGKA CENTRES declares that it employs the highest existing security standards to ensure that the use of the Platform is safe and satisfactory. However, INGKA CENTRES cannot guarantee the absence of viruses or other elements that could damage or alter the User's computer system (both hardware and software), nor does it assume any liability arising therefrom. It is your responsibility, as a User, to have adequate tools for the detection of viruses or any other harmful computer element.

INGKA CENTRES reserves the right to temporarily suspend, without prior notice, access to the Platform due to any eventual need to carry out maintenance, repair, update or improvement operations.

5. INTELLECTUAL AND INDUSTRIAL PROPERTY

All content of the Platform (including, without limitation, the domain name, trademarks, signs, distinctive signs, databases, images, drawings, graphics, logos, signs, sounds, animations, source code, design, navigation structure, text files, audio, video and software, etc.) are the property of INGKA CENTRES, other companies in its corporate group or third-party entities that participate in the Platform, INGKA CENTRES in this case having sufficient rights for their exploitation in any form and especially the rights of reproduction, distribution, public communication and transformation, and are protected by national and international intellectual and industrial property regulations, all rights being reserved and therefore may not be subject to further modification, copying, alteration, total or partial reproduction, adaptation or translation by the User or third parties without the express authorisation of INGKA CENTRES or its legitimate owner, as applicable.

Access to or use of the Platform by the User cannot in any way be considered as granting of rights, authorisations or licences of any kind by INGKA CENTRES, other companies in the INGKA CENTRES corporate group, or third parties, with respect to its content. The reproduction, distribution, public communication and transformation, in any form, of any content subject to intellectual property rights is prohibited, unless prior express written consent from its owner is obtained.

The unauthorised use of the information contained in this Platform, as well as the infringement of intellectual or industrial property rights, shall give rise to legally established liabilities. INGKA CENTRES reserves the right to exercise against the User the appropriate judicial and extrajudicial actions arising from any action that infringes intellectual and/or industrial property rights, without prejudice to any other judicial or extrajudicial actions that other companies in the INGKA corporate group, or other third parties, whether natural or legal persons, who may be holders of such rights, may take in defence thereof.

6. HYPERLINKS

In the event that you intend to establish hyperlinks to the Platform, you may not imply that INGKA CENTRES has authorised the hyperlink or has in any way approved or authorised the content of the web page on which the hyperlink is established, nor make false, inaccurate or offensive statements about INGKA CENTRES or any of its employees, or include on the hyperlink page inappropriate, defamatory, illegal, obscene or unlawful content, or any other content that in any way contravenes applicable legislation. Nor may you create frames with the web pages or over the web pages of INGKA CENTRES.

The establishment of any link from an external web page to any of the pages of the INGKA CENTRES platform shall be subject to the following conditions:

• The total or partial reproduction of any of the services contained on the Platform is not permitted.
• No false, inaccurate or incorrect statement shall be included about the pages of the Platform and its services.
• Under no circumstances shall INGKA CENTRES be liable for the content, information, statements, opinions or services made available to the public on the platform from which a hyperlink to this Platform is established.
• Any hyperlink shall be made to the main page of the Platform.

INGKA CENTRES reserves the right to contact you if it considers that you are in breach of the rules established for hyperlinks, as well as to exercise the appropriate judicial and extrajudicial actions arising from any conduct contrary to the provisions of the preceding paragraph.

The hyperlinks found on the Platform have been previously agreed with the owners of the linked web pages. INGKA CENTRES shall not be responsible for the misuse or activities contrary to the law, morality or public order carried out by users on such linked pages.

7. VALIDITY OF THE TERMS

The Terms indicated in this document, as well as the conditions established in other documents in relation to the Platform, are of indefinite duration.

INGKA CENTRES reserves the right to unilaterally modify, in whole or in part and at any time during their validity and without prior notice, these Terms, as well as any other particular conditions that modify, extinguish or render wholly or partially without effect other parts of the Platform that may eventually be established, the configuration, presentation and design of the Platform or any of the elements and services that comprise it.

The new Terms, configuration, presentation and design of the Platform shall apply from the moment of their publication and without the need for prior notice or express notification to Users, who may consult the Terms in force at any time on the Platform itself; therefore, any subsequent access to said modifications to the Platform by you shall be considered as acceptance thereof.

8. NULLITY AND INEFFECTIVENESS OF CLAUSES

If any clause included in these Terms is declared wholly or partially null or ineffective, such nullity shall only affect said provision or the part thereof that is null or ineffective, the Terms remaining in force in all other respects.

9. APPLICABLE LAW AND JURISDICTION

These Terms of use of the Platform are governed by Spanish law.

Any litigious question, dispute or controversy related to the application or interpretation thereof shall be resolved through the courts and tribunals corresponding in accordance with applicable Spanish legislation.
